This study analyzes online commerce from the perspective of the Theory of the Firm, highlighting how digital transformation has reconfigured business relationships and challenged traditional legal paradigms. The research investigates the evolution of the theory of the firm, the elements that characterize digital organizations, and the role of the entrepreneur in the virtual environment. It also addresses regulatory challenges, the protection of personal data, transaction security, the validity of electronic contracts, and competitive practices in the digital sphere. Through a qualitative approach and literature review, the study bridges theory and practice to propose reflections on the need for regulatory updates and the integration between technological innovation and legal security. The results highlight the importance of robust governance and transparency mechanisms, essential for consolidating an ethical, competitive business environment aligned with consumer rights.
